This course is aimed at students in the Master´s Programme in International Business Law (IBL). Other UH law degree students and exchange students are welcome to attend this course as well.

Students from other faculties must first apply for the right to take this course before they can register for this course.

The students should have basic knowledge on international company and securities law. In addition, the skills of the students will be tested during the course.

After having completed this course students understand basic concepts and theories of modern company and securities law. The first part of the course will focus on company law theory and the second part on more pragmatic dimensions of company and securities law.

Teaching period III, IV

The course consists of two parts: The first part taught by LL.D. Javier Reyes concentrates on company law theory and the second part taught Professors Seppo Villa, Jukka Mähönen and Mårten Knuts on more pragmatic dimensions of company and securities law.

Hansmann, Henry: The Anatomy of Corporate Law (2010 edition or newer), available online on Helka. Other literature will be determined in the beginning of each semester. The responsible teacher of the course sees that the designated literature is available for the students.

Activating discussions during lectures.

Exams graded on general scale.

Lectures (Company law I & II) and two separate exams.
